Terms of Sales

These Terms of Sale ("Terms") apply to all purchases made from FREM Wholesale ("FREM," "we," "us," or "our") through our website, shopfrem.com ("Website"). By placing an order, you agree to be bound by these Terms. If you do not agree, do not place an order.

1. ELIGIBILITY

You must be at least 18 years old and authorized to enter into legally binding contracts to purchase products through our Website.

2. WHOLESALE ACCOUNTS

FREM sells to approved wholesale customers only. You may be required to provide business verification, resale certificates, or tax ID numbers to be eligible to purchase at wholesale prices.

3. ORDER ACCEPTANCE

All orders are subject to acceptance and availability. We reserve the right to cancel or refuse any order for any reason, including pricing errors, payment issues, or suspicion of fraudulent activity. Confirmation of receipt of an order does not constitute acceptance by FREM.

4. PRICING & PAYMENT

Prices are in U.S. dollars unless stated otherwise. We reserve the right to change prices without prior notice. Payment must be made in full at the time of purchase unless alternate terms are agreed upon in writing. Accepted payment methods include major credit cards, PayPal, Afterpay, and other secure third-party processors.

5. SHIPPING & DELIVERY

Shipping times and costs are estimated and may vary. Risk of loss and title for items pass to you upon our delivery to the carrier. We are not responsible for delays or losses caused by carriers or customs clearance.

6. RETURNS & CLAIMS

All sales are final unless otherwise stated in a written agreement. Any claims for defective, incorrect, or missing items must be submitted within 5 business days of receipt, with accompanying photos and documentation. Approved returns may be eligible for replacement or store credit at our discretion.

7. TAXES & DUTIES

You are responsible for any applicable sales tax, VAT, customs duties, or other charges, unless FREM is legally required to collect and remit taxes on your behalf. Wholesale customers must provide valid exemption documentation where applicable.

8. PRODUCT INFORMATION

We strive to ensure that product descriptions, pricing, and availability are accurate. However, we do not warrant that such information is error-free. We reserve the right to correct any errors, inaccuracies, or omissions and to cancel or refuse any orders based on incorrect information.

9. MESSAGING SERVICE PRIVACY

FREM Wholesale may use a third-party provider such as Attentive to manage its messaging and text marketing services ("Messaging Service"). By opting in to receive text messages, you consent to the collection and use of your information as outlined below.

Collection of Information: We collect your phone number, email address, and any messages or replies you send. We may also use cookies or tracking technologies to personalize your Messaging Service experience (e.g., cart reminders).

Use of Information: We use your data to deliver, support, and improve the Messaging Service, respond to inquiries, and personalize your experience.

Retention: Your information is retained as long as necessary to operate the Messaging Service or comply with legal obligations.

Opt-Out: You may opt out of text messages at any time by replying STOP, END, CANCEL, UNSUBSCRIBE, QUIT, REVOKE, or OPT OUT.

10. LIMITATION OF LIABILITY

To the fullest extent permitted by law, FREM shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to your purchase or use of products. Our total liability shall not exceed the amount paid for the applicable products.

11. FORCE MAJEURE

We are not liable for any failure or delay in our performance due to causes beyond our reasonable control, including but not limited to natural disasters, transportation delays, supply chain disruptions, strikes, or acts of government.

12. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.

13. MODIFICATIONS

We may update these Terms at any time without prior notice. Any changes will be effective upon posting to the Website. It is your responsibility to review these Terms before placing each order.
